Terms governing access to AdaptixCore.

These Terms of Service (“Terms”) form a contract between you and FusionEMS Quantum LLC, operator of the AdaptixCore platform (“AdaptixCore”). By creating an account, accessing an authenticated workspace, or executing an agreement that references these Terms, you agree to them on your own behalf and on behalf of the agency or organization you represent.

The Master Service Agreement (MSA), Business Associate Agreement (BAA), Privacy Notice, and any signed order form are incorporated by reference. If a signed MSA exists between AdaptixCore and your organization, the signed MSA controls in the event of conflict.

AdaptixCore is an emergency-services operations platform. The service includes authenticated agency workspaces and the modules an agency has subscribed to under a signed agreement. The authoritative list of modules, plan tier, pricing, and effective dates is the executed order form, not any description on this website.

Public marketing surfaces (this website, demo flows, ROI estimators, intake forms) are available without an account and exist to support intake, scoping, and contract execution. They do not grant any right of access to authenticated services.

Authenticated access is limited to operators an agency has authorized. Each user is accountable for safeguarding their credentials, completing required multi-factor authentication, and using the service only within the scope of their role and the agency's policies. Sharing credentials is prohibited.

AdaptixCore enforces tenant isolation. An operator can only access data inside the agency tenants they have been explicitly granted access to.

You may not (a) reverse-engineer, decompile, or attempt to extract source code from the service except where applicable law expressly permits; (b) interfere with platform security, monitoring, or rate-limiting controls; (c) use the service to violate any law, including HIPAA, EMTALA, state EMS regulations, or DEA requirements; (d) input information that infringes intellectual property rights of others; or (e) impersonate another operator, agency, or AdaptixCore.

Activity inside an authenticated workspace is audit-logged. Suspicious or abusive activity may be referred to the agency administrator and, where appropriate, to law enforcement.

Subscription fees, per-unit charges, per-claim processing fees, and any add-on module fees are governed by the executed order form. Charges are processed through Stripe unless your signed agreement specifies an alternative method. Statements are issued per the billing cadence on the order form and are due in accordance with the agreement.

AdaptixCore may suspend authenticated access for accounts with materially past-due balances, subject to the cure period specified in the MSA. Suspension does not delete tenant data; the data remains available for export or restoration upon resolution of the balance.

When an agency processes PHI through the service, AdaptixCore acts as a Business Associate as defined in 45 CFR § 160.103. The BAA executed between AdaptixCore and the agency governs the permitted uses and disclosures of PHI, breach notification, and the parties' respective obligations under HIPAA.

PHI must not be submitted through public marketing intake forms. PHI is only processed inside authenticated workflows by users the agency has authorized.

Data created or stored in an agency's tenant remains the property of the agency. AdaptixCore retains that data in accordance with the BAA, applicable retention rules, and the executed agreement. Upon written request, the agency may export tenant data per the BAA.

Electronic signatures collected through the platform are issued and verified by TrustSign, the AdaptixCore signature service. Signed records are stored with a tamper-evident audit trail and are admissible to the same extent as electronic signatures generally under the E-SIGN Act and UETA.

AdaptixCore engineers the service for high availability. Live system status is published at /status and reflects the real result of public health probes against the gateway, authentication, billing, workspace, and clearinghouse services. Service-level commitments, if any, are stated in the executed agreement.

AdaptixCore may add, modify, or remove platform features. Material changes that impact existing agency workflows are communicated to agency administrators in advance.

AdaptixCore retains all right, title, and interest in the platform, its source code, designs, trademarks, and documentation. Nothing in these Terms transfers ownership of AdaptixCore intellectual property to any agency, operator, or partner.

Agencies retain ownership of their own data, including PHI submitted by their authorized users.

The service is provided on an “as is” and “as available” basis except to the extent the MSA provides express warranties. To the maximum extent permitted by law, AdaptixCore and its licensors disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Liability is limited as specified in the executed MSA. In the absence of a signed MSA, aggregate liability for any claim arising out of these Terms shall not exceed the fees paid by the agency for the affected service in the twelve months preceding the event giving rise to the claim.

Either party may terminate the agreement as provided in the executed MSA. AdaptixCore may suspend or terminate access for material breach of these Terms, fraudulent activity, or any activity that endangers the security of the service or its users.

On termination, tenant data is exported and deleted per the BAA. Some data retention is required for audit, regulatory, and tax purposes; the retention schedule is described in the Privacy Notice.

These Terms are governed by the laws of the State of Wisconsin, without reference to conflict-of-laws principles, except where the executed MSA specifies otherwise.
